Affiliate Marketing Programme Terms and Conditions
Effectiveness Date: 1st October 2025
This Agreement, entered into between MakeWell Europe Ltd. ("We", "Us") and Affiliate/Practitioner ("You") describes terms and conditions for your participation in our Marketing Affiliate or “Practitioner” Programme
These terms and conditions supplement and do not exclude our website Terms and Conditions available at: https://makewell.co/policies/terms-of-service
1. DEFINITIONS
"Affiliate Marketing Programme" means our affiliate marketing programme as defined under this Agreement.
"Affiliate Lead" means a prospect who clicks on the Affiliate Link we provided to you or who uses Coupon Code/Practitioner Code made available to you, but has not yet completed a purchase.
"Affiliate Link" means the unique tracking link you display on your website or on other channels.
"Affiliate" means the party entering into this Agreement and participating in the Affiliate Programme. For healthcare professionals, this term is used interchangeably with "Practitioner."
"Agreement" means this Affiliate Marketing Program Agreement and all content and materials referred to therein.
"Commission" means an amount to be paid to the Affiliate/Practitioner in accordance with this Agreement for each Customer Transaction.
"Coupon Code" or "Practitioner Code" means unique coupon code made available to the Affiliate/Practitioner.
"Customer" means an individual who has completed a purchase from us by placing an order after clicking on your affiliate link or using your Coupon Code/Practitioner Code.
"Customer Transactions" means orders placed by Affiliate Leads, that are eligible for Commission payment in accordance with this Agreement. Customer Transactions exclusively refers to the purchases as defined under sections 2 and 3 of this Agreement.
"MakeWell Content" means all information, data, text, messages, software, sound, music, video, photographs, graphics, images, and tags that we incorporate into our services.
"Practitioner" means healthcare professionals who participate in our Affiliate Marketing Program. This term is used interchangeably with "Affiliate" throughout this Agreement.
"We", "Us", "Our". “MakeWell”, means Makewell Europe Ltd.
"You" and "Affiliate" means the party entering into this Agreement and participating in the Affiliate Program.
"Refersion" means the third-party affiliate marketing platform used by Makewell Europe Ltd. to manage and track the Affiliate Marketing Programme, including commission calculations, payment processing, and account management.
2. ACCEPTANCE INTO OUR AFFILIATE PROGRAMME
We are under no obligation to accept an applicant into our Affiliate Marketing Programme.
It is at our sole discretion whether to accept or reject an applicant as an Affiliate/Practitioner and we are under no obligation to provide a reason for our decision.
Once you submit your application to participate in our Affiliate Marketing Program, we will review your application and inform you whether your application has been accepted.
The terms of this Agreement will come into force and this Agreement will be binding upon Parties when we notify you of your acceptance into the programme.
We reserve the right to deactivate your affiliate account or any affiliate link or Coupon Code/Practitioner Code made available to you without having to provide a reason.
The Affiliate/Practitioner will not be provided with any information concerning prospective leads or customers, except for information made available on the Affiliate's Refersion account.
3. ELIGIBILITY FOR COMMISSION
The Affiliate/Practitioner will be eligible for commission payment only if the following conditions are met cumulatively:

The affiliate/practitioner is accepted into the Affiliate Marketing Programme in pursuant to section 2;

A Customer completes a purchase as defined in section 1 of this Agreement ("Customer Transaction");

The customer completes a purchase order after clicking the affiliate link specifically provided to you or the customer has entered the Coupon Code/Practitioner Code made available to you when he/she places an order;
-
The "Cooling period", as set out in the applicable law, that allows the customer to cancel an order has passed and the order has become non-refundable.
You will not be eligible for commission payment if:

Such commission is prohibited under the applicable laws or regulations;

Commission payment has been obtained using fraudulent means or in violation of this agreement;

If the affiliate lead does not place an order and makes a purchase following their first click on the affiliate link, you will not be entitled to commission payment.
4. PAYMENT TERMS
Amount of Commission Payment
When a customer's order is placed as defined in Section 3 of this Agreement, the Affiliate/Practitioner shall be entitled to commission payment as specified in the Commission Terms displayed in your Refersion dashboard.
Your specific commission rate, calculation method, and payment terms are clearly displayed in your Refersion dashboard.
Payment Methods and Terms
Default Payment Methods: Commission payments are made via PayPal or Store Credit as our default payment methods. Bank transfer is available upon specific request only.
All bank fees and other expenses relevant to the processing of commission payment shall be borne by the Affiliate/Practitioner.
MakeWell Europe Ltd. will determine the type of currency as well as the applicable conversion rate.
You, as the Affiliate/Practitioner, are responsible for payment of all taxes, bank fees, and other expenses applicable to the commission and for ensuring that your account details (including PayPal details) are kept up to date.
All amounts payable by us to you are subject to offset by us against any amounts owed by you to us.
MakeWell Europe Ltd. reserves the right to change the amount of Commission payment unilaterally. Any changes made to the amount of commission payment shall become effective immediately.
Payout Method Changes: If the Practitioner wishes to change their payout method (e.g., from PayPal to Store Credit or Bank Transfer), such changes will only apply to future commission payments and cannot be applied retrospectively.
Requirements to Receive Commission Payment
In order for Us to process commission payment, the Affiliate/Practitioner must satisfy the following:

The Affiliate/Practitioner must provide up-to-date and correct contact and business details;

The Affiliate/Practitioner must provide up-to-date and correct payment details (PayPal account, bank details for transfers upon request, etc.) to receive commission payments and must notify us of any change at: practitioners@makewell.co;

The amount of commission due must be at least EUR 100.00, otherwise the amount will be rolled over to the next month until the amount of EUR 100.00 has been reached.
Forfeiture of Unclaimed Payments:

If the Affiliate/Practitioner fails to provide payment details, any commission amount due for more than 6 months will be deemed forfeited. For example, January commissions will be voided on July 1st if we do not hear from the Practitioner;

The Affiliate/Practitioner bears full responsibility to provide correct payment details. In the event that the commission payment is made to the wrong account due to the provision of incorrect details, the Affiliate/Practitioner will be deemed to have received the full payment due and will not have the right to bring a claim for non-payment.
Store Credit Terms
When commission payments are made via Store Credit:

Store Credit will expire 12 months after the transaction date.

For example, commission balance from January (which the Practitioner receives in early March) will expire at the end of January of the following year;
Commission Payment Processing Time
The commission payment will become due after the one-month period following the month in which the purchase order is placed passes.
For example, if a purchase order is placed in January, the commission payment due will be paid in the beginning of March.
Payment Method Changes and Restrictions
Payment methods cannot be changed retrospectively. Any change in payment method will only apply to future Customer Transactions and Commission Payouts.
The Affiliate/Practitioner may request changes to their payment method; however, such requests must be made in good faith and for legitimate business reasons. MakeWell Europe Ltd. reserves the right to refuse frequent or unreasonable payment method changes that may cause administrative burden or operational disruption.
Payment method changes will only be processed once per calendar year unless exceptional circumstances warrant otherwise, at the sole discretion of MakeWell Europe Ltd.
The Affiliate/Practitioner must provide reasonable notice of at least 30 days before the end of the month for any payment method changes to take effect in the following payment cycle.
5. INTELLECTUAL PROPERTY RIGHTS
We retain all ownership rights in our products.
You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the MakeWell EuropeLtd. Content, or the MakeWell Europe Ltd. Products in whole or in part, by any means, except as expressly authorised in writing by us.
6. NOTICE ABOUT COUPON/PRACTITIONER CODE AND AFFILIATE LINK
It is the Affiliate/Practitioner's responsibility to ensure that prospective leads click on the affiliate link or use a Coupon Code/Practitioner Code to complete a purchase.
Recommendation for Coupon/Practitioner Codes: Due to potential technical issues with affiliate links (including cookie blocking by browsers and other tracking limitations), we strongly encourage Practitioners to primarily recommend their Coupon Code/Practitioner Code to ensure proper commission tracking.
In the event that the customer does not use the Coupon Code/Practitioner Code or does not complete the purchase by following an affiliate link, the Affiliate/Practitioner will not be entitled to commission payment.
The Affiliate/Practitioner is not allowed to provide customer details to retrospectively earn commission.
Under certain circumstances, certain browsers may block the tracking code embedded inside the affiliate link, resulting in purchase orders made without proper affiliate tracking. If such scenarios occur, the Affiliate/Practitioner will not be entitled to commission payment and will also not be allowed to provide customer details to retrospectively earn a commission.
7. CUSTOMER PRIVACY AND DATA PROTECTION
We do not share Customer details with Affiliates/Practitioners for privacy and GDPR compliance purposes. We require explicit permission from the Customer before we can communicate with the Practitioner about specific orders or personal information relating to that Customer.
8. TERMINATION
This Agreement will remain in force for as long as the Affiliate/Practitioner participates in the Affiliate Program until terminated.
Both parties may terminate this Agreement with ten (10) days written notice to the other party.
MakeWell Europe Ltd. may terminate this Agreement: (i) upon seven (7) days' notice to the Affiliate/Practitioner of a material breach if such breach remains uncured at the expiration of this period.
9. AFFILIATE/PRACTITIONER WARRANTIES
The Affiliate/Practitioner agrees to carry out its affiliate marketing activities in compliance with this agreement and with generally accepted commercial practices and in an honest and fair manner.
The Affiliate/Practitioner warrants that it will comply with all applicable laws, regulations, and industry standards in discharging its obligations and exercising its rights in the context of this Agreement.
The Affiliate/Practitioner warrants that it will provide Us with complete, accurate, and most up-to-date information at all times, including its contact, business, and payment details.
The Affiliate/Practitioner is prohibited from using any promotional or advertising material or being involved in any rebranding activities in relation to the Goods promoted by MakeWell Europe Ltd., including any white labeling activities without obtaining prior written consent from Us.
In the event that such activities are carried out with our prior written consent, the Affiliate/Practitioner warrants that it will act in accordance with instructions and directions provided by Us in relation to these activities.
The Affiliate/Practitioner agrees that it will not represent or imply to the prospective leads or customers that MakeWell Europe Ltd. provides any guarantees against potential damages or losses.
The Affiliate/Practitioner shall carry out its obligations arising out of this agreement by showing the best skills, due care, and professionalism.
The Affiliate/Practitioner will not use the name, brand, or any other proprietary information of MakeWell Europe Ltd. for any other purposes except for fulfilling its obligations arising out of this agreement.
10. LIMITATION OF LIABILITY
MakeWell Europe Ltd. shall not be liable for:
Any loss, cost, or liability of any kind or nature suffered or incurred by the Customer or prospective lead where such loss, expense, cost, or liability of any kind is suffered as a result of the Affiliate/Practitioner's gross negligence and/or fraud on behalf of the Affiliate/Practitioner and/or the intended failure of the Affiliate/Practitioner's obligation under this Agreement.
Limitation
In any event, MakeWell Europe Ltd.'s liability in relation to products sold shall not exceed the amount stated on the relevant product's label.
11. INDEMNIFICATION
The Affiliate/Practitioner agrees to hold MakeWell Europe Ltd. harmless against all actions, suits, claim, demand, settlement, costs, and expenses that MakeWell Europe Ltd. may incur and which may have arisen directly or indirectly from the Affiliate/Practitioner's act, omission or negligence, failure to cooperate with the MakeWell Europe's request or out of breach of this Agreement.
12. PROHIBITED ACTIVITIES
You hereby agree that You will not be involved in any activities that may damage our Website, our brand, or that may cause Us financial, legal, or reputational harm, including but not limited to:

Using our website or its features or content for any unlawful purpose;

Encouraging others to perform any unlawful acts;

To violate Intellectual Property Rights, whether our IP rights or that of others;

To submit false, incomplete, or misleading information;
-
To interfere with or circumvent the security features we put in place;
-
Attempts to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of our Services, including our IP rights.
13. SEVERABILITY
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from this Agreement, and the remaining provisions shall continue in full force and effect.
14. GOVERNING LAW
All matters relating to this Agreement shall be governed by the Laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction to resolve any disputes in relation to this Agreement.
